Terms of Service

These Terms of Service ("Terms") govern your access to and use of the XiWire platform, websites, APIs and related services (collectively, the "Service"), operated by XiWire ("XiWire", "we", "us"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the organisation you represent.
1. The Service
XiWire provides cryptocurrency payment infrastructure that allows businesses ("Clients") to accept deposits and process withdrawals on supported blockchain networks. The Service includes wallet infrastructure, invoicing, settlement, webhooks and related tools. We may add, modify or remove features at any time.
2. Eligibility and Accounts
You must be a legally registered business, be authorised to bind that business, and operate in a jurisdiction where the Service is available. You are responsible for the accuracy of your account information, for all activity under your account, and for keeping your API keys and credentials secure.
3. Acceptable Use
Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms. We may suspend or terminate access for any breach of that policy.
4. Fees
Use of the Service is subject to the fees disclosed to you, which may include transaction fees, onboarding fees and network costs. Fees may be deducted from transactions processed through the Service. Except where required by law, fees are non-refundable. We may change our fees on reasonable notice.
5. Compliance, KYC and AML
You must complete identity verification (KYC) and ongoing due diligence as we reasonably require, and you must comply with all applicable anti-money-laundering, sanctions and counter-terrorist-financing laws. You are responsible for the compliance of your own end users. We may request information, place limits, or suspend activity to meet our legal and regulatory obligations.
6. Crypto-Asset Risks
Blockchain transactions are irreversible. Once broadcast, a transaction cannot be cancelled or recalled. You are responsible for the accuracy of destination addresses, networks and amounts. Crypto-assets are volatile, and network conditions, forks and congestion may affect timing and cost. We are not a custodian of your funds beyond what is necessary to operate the Service.
7. Intellectual Property
The Service, including all software, documentation and branding, is owned by XiWire and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You may not copy, reverse-engineer or resell the Service except as expressly permitted.
8. Third-Party Services
The Service relies on third parties, including blockchain networks, node providers and identity-verification vendors. We are not responsible for the availability, accuracy or conduct of those third parties, and your use of them may be subject to their own terms.
9. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free.
10. Limitation of Liability
To the fullest extent permitted by law, XiWire will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or crypto-assets. Our total aggregate liability arising out of or relating to the Service will not exceed the fees you paid to us in the three months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless XiWire and its officers, employees and agents from any claims, losses and expenses arising out of your use of the Service, your breach of these Terms, or your violation of any law or third-party right.
12. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service, other users or third parties. Provisions that by their nature should survive termination will survive.
13. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a revised "Last updated" date and, where changes are material, provide reasonable notice. Continued use of the Service after changes take effect constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of the jurisdiction in which XiWire is established, without regard to conflict-of-law principles. The courts of that jurisdiction will have exclusive jurisdiction over any dispute, unless applicable law provides otherwise.
